Terms of Service

Terms of Service

Last updated: October 10, 2026

These Terms of Service (“Terms”) apply to your use of the Equipt website and to the services provided by Equipt (“we,” “us”), owned and operated by Shanay Smith in Ontario, Canada. By using our website or engaging our services, you agree to these Terms. If your proposal or written agreement with us says something different, that document takes priority for your engagement.

Our services

Equipt designs and builds the operational infrastructure businesses run on, across strategy, systems, hiring, brand and finance. Our work happens in three phases:

  • Diagnose: a recorded working session and a written System Audit Report, with a fixed quote for Design.

  • Design: your Blueprint, with a fixed quote for Deliver.

  • Deliver: the build, testing, launch and training, paid as a one-time handover fee or as a monthly partnership.

Each phase is scoped, quoted and agreed separately before it begins. Completing one phase does not commit you to the next.

Getting started

Submitting our website form or speaking with us does not create a client relationship. An engagement begins once you’ve accepted a proposal and paid the invoice for that phase.

Fees and payment

Fees for each phase are set out in your proposal. Every phase is invoiced directly, and payment is due before that phase begins. Any credit from one phase toward the next, and the terms that apply to it, are set out in your proposal.

For the monthly partnership, fees are billed monthly in advance, on the terms set out in your Deliver quote.

If a payment is overdue, we may pause work until it’s settled.

Changes to scope

If you’d like to add something that isn’t in the agreed scope, we’ll quote it separately, and no additional work begins until you’ve approved it in writing.

Third-party tools

Everything we build is set up in accounts registered to your business. You are responsible for the subscription costs of those tools, and we’ll make any costs clear before recommending something new. We aren’t responsible for changes, outages or pricing decisions made by third-party providers.

Your part

To deliver on time and as agreed, we rely on you to provide accurate information, give us access to the tools and accounts we need, and make decisions when we ask for them. Delays on your side may shift timelines.

Ownership

Once your invoice for a phase is paid in full, the deliverables created for you in that phase are yours, including your System Audit Report, your Blueprint, and the systems built in your accounts. Equipt keeps ownership of its own frameworks, methods, templates and tools, and you receive a licence to use anything of ours included in your deliverables for your own business.

Contractors

For specialized work, we may bring in trusted contractors from our network. Equipt remains responsible for their work and holds them to the same confidentiality standards as ourselves.

Recordings

Diagnose sessions are recorded so nothing gets missed. Recordings are used only to prepare your deliverables and are handled as described in our Privacy Policy.

Confidentiality

We keep your business information confidential and use it only to deliver your engagement. We will never name you, quote you or feature your work in our marketing without your written permission.

Results

We commit to what’s within our control: the agreed scope, deliverables, price and timeline. How far your new systems take your business depends on many factors outside our control, including how they’re used. We don’t guarantee specific revenue, growth or business outcomes.

Ending an engagement

You may end an engagement at any time with written notice. You’ll pay for the work completed up to that point, and we’ll hand over everything completed for you. Notice terms for the monthly partnership are set out in your Deliver quote. Once a phase has begun, fees already paid for that phase are non-refundable.

Limitation of liability

To the extent permitted by law, our total liability for any claim related to an engagement is limited to the fees you paid for the phase the claim relates to. We are not liable for indirect or consequential losses, such as lost profits or lost data.

Our website

The content on our website is for general information only and is not legal, financial or tax advice. You may not copy or reuse our content without permission.

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.

Changes to these Terms

We may update these Terms from time to time. The “last updated” date at the top shows when they last changed. Changes don’t affect an engagement already agreed in writing.
